These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Paldea Solutions, a Tennessee limited liability company ("Paldea Solutions," "we," "us," or "our"), governing your access to and use of our website at paldeasolutions.com and our automation services (collectively, the "Services").
By accessing our website, subscribing to our Services, or otherwise indicating your acceptance, you agree to be bound by these Terms. If you do not agree, do not use our Services.
Paldea Solutions provides customer relationship management (CRM) setup, marketing automation, lead capture systems, and related services primarily designed for roofing contractors and similar trade businesses. You are responsible for all activities that occur under your account.
Service fees are set forth on our website or in your signed proposal. We currently offer monthly subscription tiers with associated one-time setup fees. All fees are stated in U.S. Dollars and exclude applicable taxes.
Subscriptions are billed monthly in advance on the same date you initially subscribed. Setup fees are billed once at the start of service. You authorize us to charge your designated payment method automatically for all applicable fees.
If payment fails, we will attempt to reach you to update your payment method. Accounts that remain unpaid for more than 14 days may have their Services suspended until the account is brought current. Accounts unpaid for more than 30 days may be terminated, and outstanding balances may be referred to collections.
We may change our subscription pricing with at least 30 days' advance notice via email. If you do not agree to the new pricing, you may cancel before the change takes effect.
Our Services are month-to-month with no long-term contract requirement. You may cancel at any time by providing written notice via email to [email protected] at least 30 days before your next billing date.
Setup fees are non-refundable once setup work has begun, as setup includes labor-intensive configuration that cannot be recovered.
Monthly subscription fees are non-refundable for the month in which Services were provided. We do not prorate partial months.
Upon cancellation, we will provide you with a reasonable opportunity (typically 14 days) to export your contact data and customer records. After this period, we may delete your data from our systems in accordance with our Privacy Policy.

IMPORTANT: SMS and email marketing in the United States is heavily regulated. You — as the business sending messages to your customers — are ultimately responsible for compliance with all applicable laws, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state-level consumer protection laws.
To send business SMS messages in the U.S., your business phone number must be registered through the A2P 10DLC framework with mobile carriers. We will assist with this registration as part of setup. You agree to provide truthful business information for this registration. Registration approval times and outcomes are controlled by mobile carriers and not guaranteed by Paldea Solutions.
You agree that you will only send marketing or transactional messages to recipients who have provided proper consent under applicable law. You will maintain records of consent and honor opt-out requests promptly.
You are responsible for the content of messages sent through your Paldea Solutions–configured systems, including AI-generated responses, templates we provide, and any custom messaging you create.
Mobile carriers may filter, block, or delay messages at their discretion. Paldea Solutions does not control carrier behavior and is not liable for messages that are filtered, blocked, or undelivered.

Our Services rely on third-party platforms and providers, including but not limited to GoHighLevel, Twilio (or other SMS carriers), Stripe (or other payment processors), Google Workspace, and various integration partners ("Third-Party Services").
Use of Third-Party Services may be subject to their own terms of service and privacy policies. Paldea Solutions is not responsible for the availability, accuracy, security, or content of Third-Party Services, and downtime or limitations imposed by Third-Party Services may affect our Services without liability to us.
The Services, including all software, workflows, templates, processes, documentation, and content we create, are the intellectual property of Paldea Solutions. We grant you a limited, non-exclusive, non-transferable license to use our Services for your business operations during your active subscription period.
You retain all rights to your business data, customer information, content, and assets that you provide to us. You grant us a limited license to use your data solely for the purpose of providing the Services.
We may collect anonymized, aggregated usage data to improve our Services. This data does not identify you or your customers personally.
Each party agrees to protect the other party's confidential information with the same care it uses to protect its own confidential information, and at minimum reasonable care. Confidential information includes business information, customer lists, pricing, technical details, and any information marked as confidential. This obligation survives termination of these Terms.
NO GUARANTEES: While we work hard to deliver effective automation systems, we cannot guarantee specific business outcomes, revenue increases, lead volume, or conversion rates. Results depend on many factors outside our control, including your market, your business operations, and your team's execution.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.
We do not warrant that the Services will be error-free, secure, or continuously available. We do not warrant any specific business results, return on investment, or lead generation outcomes.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PALDEA SOLUTIONS, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the limitation of certain damages, so some of the above limitations may not apply to you.
You agree to indemnify, defend, and hold harmless Paldea Solutions, its owners, employees, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

Upon termination, your right to use the Services ends, but provisions of these Terms that by their nature should survive (including IP, confidentiality, limitations of liability, and indemnification) will remain in effect.
These Terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws principles.
Before filing any formal claim, both parties agree to first attempt to resolve the dispute informally by contacting the other in good faith.
Any legal action arising out of these Terms must be brought in the state or federal courts located in Knox County, Tennessee, and both parties consent to personal jurisdiction in those courts.
Both parties agree that any disputes will be resolved on an individual basis and waive the right to participate in class actions or representative proceedings.
We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top and, for material changes, notify active subscribers via email or in-app notification. Continued use of the Services after changes constitutes acceptance of the revised Terms.
